1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you and NYSALE INC. (d/b/a Soul Journey Life) ("Company," "we," "us," or "our") governing your use of www.sjcandles.com (the "Site") and your purchase of any products from the Site, including our candles and companion products (the "Products").

By accessing the Site or placing an order, you agree to these Terms, our Privacy Policy, our Shipping Policy, and our Return and Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Site or place an order.

Access to the Soul Journey Life mobile application, digital platform, and guided meditation library is governed separately by our Terms of Use at www.souljourneylife.com/terms.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to place an order on the Site. By placing an order, you represent that you meet this requirement and that the information you provide is true, accurate, and complete.

3. Products and Descriptions

We make every effort to display our Products, including colors, labels, and packaging, as accurately as possible. Because candles are handcrafted, minor variations in color, surface texture, and appearance may occur and are not considered defects. We do not warrant that Product descriptions, images, or other content on the Site are error-free, complete, or current.

Each candle includes access to a paired guided meditation. Access to that content is subject to our Terms of Use and may require creating an account.

4. Wellness Disclaimer

Our Products and any accompanying content are designed to support general wellness, relaxation, and personal reflection. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition, and they are not a substitute for professional medical, psychological, or therapeutic care. Always seek the advice of a qualified professional with any questions about a medical or mental health condition.

5. Candle Safety

Candles involve an open flame and must be used with care. By purchasing a candle, you agree to follow the safety instructions on the label, including:

• Never leave a burning candle unattended;
• Burn within sight, away from flammable materials, drafts, children, and pets;
• Trim the wick to 1/4 inch before each use;
• Place on a stable, heat-resistant surface; and
• Discontinue use when 1/2 inch of wax remains.

We are not responsible for injury, damage, or loss resulting from the misuse of any Product or failure to follow its safety instructions.

6. Orders and Acceptance

Your order is an offer to purchase. Your receipt of an order confirmation email does not mean we have accepted your order. We reserve the right to accept, decline, limit, or cancel any order, including for product availability, errors in pricing or descriptions, suspected fraud, or shipping restrictions. If we cancel an order after you have been charged, we will issue a full refund to your original payment method.

We may limit quantities available for purchase per order, per customer, or per household.

7. Pricing and Payment

All prices are listed in U.S. Dollars and are subject to change without notice. Prices do not include applicable sales, use, or excise taxes, which are calculated at checkout. If a Product is listed at an incorrect price due to an error, we may cancel any orders placed at that price.

Payment is processed at checkout by our third-party payment processors. You authorize us and our processors to charge your selected payment method for the total amount of your order, including taxes and shipping charges.

8. Shipping, Returns, and Refunds

Shipping is governed by our Shipping Policy. Returns and refunds are governed by our Return and Refund Policy. Title and risk of loss pass to you when we tender your order to the carrier.

9. Promotions and Gift Cards

Promotional codes and discounts are subject to the terms stated at the time of the offer, may not be combined unless expressly stated, and have no cash value. Gift cards are not redeemable for cash except where required by law and are not replaceable if lost or stolen.

10. Reviews and Submissions

If you submit reviews, comments, photos, or other content to the Site ("Submissions"), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, and adapt your Submissions in connection with our business and marketing. You represent that your Submissions are your own, are truthful, and do not violate any law or third-party right. We may remove any Submission at our discretion.

11. Intellectual Property

The Site and all content on it, including text, graphics, logos, product names, images, packaging designs, and meditation content, are owned by or licensed to NYSALE INC. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Site content without our prior written consent.

12. Prohibited Uses

You agree not to use the Site to: violate any law; submit false or fraudulent orders; purchase Products for unauthorized commercial resale; interfere with the operation or security of the Site; use bots, scrapers, or other automated means to access the Site; or infringe the rights of others.

13. Third-Party Links

The Site may contain links to third-party websites or services. We are not responsible for their content, policies, or practices.

14. Text Messages

If you opt in to receive text messages from us, our SMS program terms in Section 18 of our Terms of Use apply. Consent is never a condition of purchase. Reply STOP to opt out at any time.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN OUR RETURN AND REFUND POLICY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED FROM USE OF OUR PRODUCTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NYSALE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless NYSALE INC. and its officers, directors, employees, and agents from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of any Product, or your violation of any law or third-party right.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any Product ("Dispute") shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, by a single arbitrator. The seat of arbitration shall be the State of Delaware, and proceedings may be conducted remotely.

Class Action Waiver. YOU AND NYSALE INC. MAY BRING DISPUTES AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Exceptions. Either party may bring an individual action in small claims court, seek injunctive relief to protect intellectual property rights, or pursue claims that cannot legally be required to be arbitrated.

Opt-Out. You may opt out of this arbitration agreement by emailing info@souljourneylife.com within thirty (30) days of your first purchase, including your name, mailing address, order number, and a clear statement that you wish to opt out. If you opt out, Disputes shall be resolved in the state or federal courts located in the State of Delaware.

19. Changes to Terms

We may update these Terms at any time. Changes take effect when posted on the Site, and the "Last Updated" date above will be revised. Terms in effect at the time of your order govern that order.

20. Miscellaneous

These Terms, together with the policies incorporated by reference, are the entire agreement between you and us regarding the Site and Products. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control.
